Innovative Companies Join Channel 4 in Advertising Program
Rovi Corporation (NASDAQ: ROVI) today announced that BT, Red Bull TV, Honda, and Ladbrokes will develop interactive campaigns to run on the Rovi Advertising Network as part of the Rovi Smart TV Advertising program. These companies join Channel 4, which was one of the first to join the Rovi Smart TV program in the United Kingdom.

Rovi Corporation (NASDAQ: ROVI) announced today the appointment of Thomas Carson as its President and Chief Executive Officer effective immediately, succeeding Alfred J. Amoroso, who has held the position since July 2005.  Mr. Carson has also been elected to the Rovi Board of Directors.  Mr. Amoroso will assist the Board and Mr. Carson during a transition period, as announced in May 2011.

Campaign Marks the Launch of Rovi Smart TV Advertising Program in Germany
Rovi Corporation (NASDAQ: ROVI) today announced that renowned automaker MINI and its agency Mediaplus are participating in the launch of the Rovi Smart TV Advertising program in Germany. Research Shows Consumers’ Engagement with Connected Device Platform
Rovi Corporation (NASDAQ: ROVI) and Decipher, one of the United Kingdom's leading media strategy and research companies, today released the first results from a two-phase study about Smart TV usage and interactive advertising in the United Kingdom. The first phase examined connected device familiarity and usage, creating a profile of the connected TV audience and comparing it to the average UK household. The second part of the study will assess the effectiveness of a range of specific interactive campaigns on the platform and is expected to be completed in the first quarter of 2012.

Solution Helps Streamline Service Provider Migration to Next-Generation Architecture

Ohio Cable Provider Joins Growing List of Service Providers Choosing Rovi Technology to Enable Next Generation Entertainment Experiences
Rovi Corporation (NASDAQ: ROVI) today announced an agreement with Buckeye CableSystem, a service provider serving Northwest Ohio and parts of Southeast Michigan, for the licensing and deployment of Rovi TotalGuide Solution across multiple platforms. Using Rovi TotalGuide, Buckeye will be able to offer its customers an advanced entertainment discovery experience with leading-edge search and recommendation capabilities on set-top boxes already in homes today. The service provider will also deploy Rovi's companion white-label TotalGuide xD application, allowing subscribers to use IP-enabled mobile devices to schedule a recording, tune linear channels, start a VOD session, and once available, watch authenticated TV shows and movies. In addition, Rovi and Buckeye have signed multi-year renewal agreements for Rovi i-Guide as well as Remote DVR Scheduling and ETV/EBIF Solution.

Rovi Helps Cable Operators Extend Cable Experience to Mobile Screens
Rovi Corporation (NASDAQ: ROVI) today announced a licensing agreement with Blue Ridge Communications, a Palmerton, Pennsylvania cable, Internet, and phone provider, for the deployment of TotalGuide xD. The white-label "search and discovery" application will enable Blue Ridge to connect and extend video service access across tablets and smartphones. TotalGuide xD will enable Blue Ridge subscribers to remotely connect with their DVR and channel tune, find more of what they like with Rovi six-degrees discovery, and once available, watch authenticated TV shows and movies on multiple mobile screens. Rovi grows momentum in China by entering agreement with leading set-top box manufacturer for DivX HD devices
Rovi Corporation (NASDAQ: ROVI) announced the signing of a new multi-year licensing agreement for DivX® technology with Shenzhen Jiuzhou Electric Co., Ltd., one of the largest set-top box (STB) manufacturers in China. Jiuzhou plans to integrate DivX HD into its STB products for sale globally, initially launching in Europe in Q1 2012. The collaboration with Jiuzhou is the latest in a series of wins for Rovi in the region. The company has not only been accelerating momentum with China-based OEMs and ODMs shipping on a worldwide basis, but it also recently secured an agreement with Mei Ah to power a new online video service in the region.

Rovi Corporation (NASDAQ: ROVI) announced today that it had third quarter 2011 GAAP revenues of $196.5 million, compared to $138.0 million for the third quarter of 2010. Third quarter 2011 GAAP net income was $1.8 million, compared to GAAP net income of $36.4 million for the third quarter of 2010. GAAP diluted net income per common share for the quarter was $0.02, compared to income per common share of $0.33 for the third quarter of 2010.

Mei Ah Group Licenses DivX Video and DRM Technologies to Provide Premium Entertainment Experiences across a Range of Consumer Electronics
Rovi (NASDAQ: ROVI) and Mei Ah Digital Technology Ltd., one of the companies in Mei Ah Entertainment Group, today announced the companies have collaborated to launch a new Chinese online Video-On-Demand (VOD) service called BOYABO (http://boyabo.com) that provides consumers convenient access to premium movies and TV entertainment. Rovi Corporation (NASDAQ: ROVI) announced today that it had second quarter 2011 GAAP revenues of $193.0 million, compared to $133.9 million for the second quarter of 2010. Second quarter 2011 GAAP net loss was $10.7 million, compared to GAAP net income of $41.2 million for the second quarter of 2010. The current quarter included a $15.0 million restructuring and asset impairment charge primarily related to the disposal of the BD+ operations, while the comparable quarter a year ago benefited from a $19.0 million gain on interest rate swaps and caps. GAAP diluted net loss per common share for the quarter was $0.10, compared to income per common share of $0.39 for the second quarter of 2010.

Rovi Corporation (NASDAQ: ROVI) announced today that it had first quarter 2011 GAAP revenues of $161.5 million, compared to $129.4 million for the first quarter of 2010. First quarter 2011 GAAP net income was $17.0 million, compared to $68.1 million for the first quarter of 2010.  In 2010, the first quarter included a $108.5 million tax benefit primarily as a result of entering into a closing agreement with the Internal Revenue Service related to the 2008 sale of the TV Guide Magazine business. There was no comparable benefit in 2011. GAAP diluted net income per common share for the first quarter of 2011 was $0.15, compared to net income per common share of $0.64 for the first quarter of 2010.

Rovi Corporation (NASDAQ: ROVI) announced today that it had fourth quarter 2010 revenues of $140.2 million (in line with its CY2010 estimates released on December 22, 2010), compared to $137.1 million for the fourth quarter of 2009. Fourth quarter 2010 GAAP net income was $67.2 million, compared to $2.6 million for the fourth quarter of 2009.  The Company's GAAP earnings included a $40.7 million income tax benefit in 2010 compared to a $22 million income tax expense in 2009.

Rovi Corporation (NASDAQ: ROVI) announced today that it has completed a $750 million Senior Secured Credit Facility financing. The Credit Facility consisted of a $450 million five year Term Loan A tranche and a $300 million seven-year Term Loan B tranche. The Term Loan A bears interest, at the Company’s election, at either prime plus 1.5% per annum or three month LIBOR plus 2.5% per annum. The Term Loan B bears interest, at the Company’s election, at either prime plus 2.0% per annum or three month LIBOR plus 3.0% per annum, with a LIBOR floor of 1.0%. The Company expects to pay all the term loans based on the LIBOR option throughout 2011. The loans were issued at a rating of Ba1/BB+ and the corporate rating is Ba2/BB-. Net proceeds from the transaction (after associated expenses) were approximately $730 million. The Company expects to use the net proceeds to replenish cash reserves following the pending Sonic Solutions acquisition, to repurchase stock and repurchase or otherwise retire convertible debt securities (including the retirement of the remaining $84 million of par value August, 2011 2.625% convertible notes) and for general corporate purposes.
